Terms and Conditions for AltSchool’s Affiliate Programme

Introduction

These Terms and Conditions (the “Terms”) for AltSchool’s Affiliate Programme (the “Programme”) outlines the terms governing the referral of new students to AltSchool Africa Limited (‘AltSchool”) and the eligibility and participation of AltSchool’s current students and partners in the Affiliate Programme.

By participating in the Programme, eligible participants acknowledge and agree to adhere to the terms outlined in these Terms.

All personal data collected and processed during the Programme will be managed in accordance with AltSchool’s Privacy Policy.

  1. Eligibility

1.1 To participate in the Programme, a person must either currently be:

1.1.1 a registered user on portal.altschoolafrica.com or;

1.1.2 one of AltSchool’s content partners.

  1. The Referral Process

    2.1 Upon AltSchool confirming an Affiliate’s eligibility to participate in the Programme, the Affiliate will receive a personalized referral code and necessary referral materials for referrals.

    2.2 The affiliate codes and other referral materials issued to Affiliates for the purpose of the Programme are non-transferable and shall not be sold or used as an item of exchange.

    2.3 AltSchool retains all intellectual property in the Affiliate Programme and has the sole discretion to limit access and use of the affiliate codes and other referral materials.

    2.4 The affiliate codes are to be shared with individuals who have never enrolled in any course on AltSchool’s platform, subsequently referred to as the “Referred Party” or “Referred Parties”. To qualify as a Referred Party, the recipient of the referral code must use the code to sign up for a course and be successfully onboarded on AltSchool’s platform as a student. Recipients and users of the affiliate codes will not qualify as a Referred Party if they:

    2.4.1 are not eligible to enrol in any course on AltSchool’s platform; or

    2.4.2 have been previously suspended as a learner on AltSchool’s platform.

  2. Rewards

3.1 For each successful referral and onboarding of a Referred Party, Affiliates shall earn a 10% (ten percent) commission on the fees paid by any Referred Party for any preferred course on AltSchool’s platform. The Referred Party shall also be entitled to a 10% (ten percent) discount on the applicable fees for any preferred course on AltSchool’s platform.

3.2 Affiliates will only receive any earned commission when the referral balance on their custom referral code is equivalent to or above NGN20,000 (twenty thousand Naira) or $10 (ten US Dollars).

3.3 Subject to clause 3.2, all earned commission shall be paid into an Affiliate’s designated bank account.

3.4 Affiliate rewards may be subject to local income tax law in the country of an Affiliate’s residence. Affiliates shall be responsible for any transaction fee and tax liability arising from the rewards received during the Affiliate Programme.

  1. Use of Trademarks

Affiliates may use AltSchool’s trademarks for the sole purpose of referrals. Any such use shall be in accordance with AltSchool’s brand guidelines and policies. It is expressly understood that this Agreement does not grant any Affiliate an interest in AltSchool’s trademarks or any other intellectual property rights.

  1. Liability AltSchool’s liability to any Affiliate for damages under the Affiliate Program is limited to the total commission paid or payable to such Affiliate in the three-month period immediately preceding the occurrence of any loss or damage to such Affiliate. AltSchool shall not be liable to any Affiliate for any consequential, indirect, special, or punitive damages, or loss of profits or revenue. AltSchool shall not be liable to an Affiliate who loses their password and someone gains access to their portal and withdraws their earnings from their portal.

AltSchool takes reasonable measures to ensure the security of its platform, including password protection and encryption of sensitive data. However, the Affiliate acknowledges and agrees that it is solely responsible for maintaining the confidentiality of the Affiliate’s account credentials and passwords. AltSchool shall not be liable for any unauthorised access to the Affiliate's account resulting from the loss or disclosure of the Affiliate password or sharing of OTP. The Affiliate agrees to immediately notify AltSchool of any unauthorised use of the Affiliate account or any other breach of security.

  1. Termination

    6.1 AltSchool reserves the right to terminate or modify the Affiliate Programme at any time. Affiliates can withdraw their participation in the Programme at any time and for any reason. 6.2 Affiliates who violate the terms of this policy may have their participation revoked, and any accrued rewards may be forfeited.

  2. Governing Law and Dispute Resolution

    7.1 These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria.

    7.2 Any disputes arising under or in connection with the validity, interpretation and performance of these Terms between Affiliates and AltSchool, Referred Parties and AltSchool or between AltSchool and any third party that cannot be resolved amicably by the parties through negotiation within 30 (thirty) days shall be resolved by Arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator in accordance with the Arbitration and Mediation Act, 2023.

    7.3 The Parties shall endeavour in good faith to mutually agree on the selection of an arbitrator. If the Parties cannot mutually agree on the selection of an arbitrator within 10 (ten) days of the request, they shall apply to the LCA to appoint an arbitrator. Arbitration proceedings shall be conducted in Lagos.

    7.4 The arbitrator will be requested to render an award within 90 (ninety) days and to provide, in writing the reasoning for the award. The decision of any such arbitrator shall be final and binding on the parties.

    7.5 Each party shall bear its cost in connection with the Arbitration and the arbitrator’s fees shall be split equally between both parties.

  3. Entire Agreement

These Terms constitute the entire understanding between each user and AltSchool for the purpose of the Affiliate Programme. No other agreements, representations, or warranties other than those referred to in these Terms will be binding on Affiliates and AltSchool unless expressed in writing and signed by the parties.

AltSchool reserves the right to modify and make required changes to these Terms at any time without prior notice.
